Terms of service

A working draft of the commercial terms we expect to use. Not an offer, not a contract, and not reviewed by counsel.

Scope of authority

The service acts only within the authority matrix agreed in writing with the client. Actions classified red require explicit human approval on every occurrence and are never delegated to the system.

The following always require explicit human control and are never delegated for autonomous execution: changes to banking or payment details, refunds, acceptance or signature of contracts, admissions of legal liability, representations on regulated tax or accounting matters, responses to security incidents, and destructive deletion of data.

Client responsibilities

The client grants integration permissions themselves and is responsible for the accuracy of the authority matrix, including permitted recipient domains and monetary thresholds.

The client remains the responsible party for its own customer communications, pricing, contractual commitments, licensing and regulatory obligations.

No performance guarantee

We make no guarantee of cost savings, revenue, response times, accuracy, or freedom from error. Any figures discussed during onboarding are measurements against the client's own recorded baseline, not promises.

The service is provided on a best-effort managed basis. Automated judgement can be wrong, which is why deterministic guardrails, human approval tiers, exception queues and audit trails exist.

Shadow mode and live mode

Engagements begin in shadow mode, where the service produces proposed actions and expected outcomes without contacting any external system.

Live execution may be enabled only per capability, only after the defined test gates pass, and only with written client approval. Either party may withdraw a live capability at any time. A global kill switch halts autonomous execution immediately.

Termination and data

Either party may terminate on written notice. On termination the client may request an export of their operational records and audit events. Deletion follows the agreed retention schedule and is performed by a person, with an audit record.

This document is a non-binding working draft written to describe intended practice. It has not been reviewed by counsel and must not be presented to a client or regulator as a final policy.
